Service agreement and usage terms

KONNECT (the "Service" or "Platform") is operated by KAPWA Global (the "Company", "we", "us", "our"). These Terms and Conditions ("Terms") govern your access to and use of KONNECT.
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use KONNECT.
KONNECT is an AI and human expert strategy platform designed for growth-stage founders and leadership teams. The Service includes:
AI-generated outputs are decision-support tools. They do not constitute legal, financial, medical, or tax advice. You are responsible for verifying any output before acting on it.
Human experts available through KONNECT are independent professionals matched to you via the Platform. KAPWA Global facilitates this matching but is not a party to the professional relationship between you and any expert, and does not endorse or warrant the accuracy of any expert output. You retain full accountability for any decision you make based on output provided through the Service, whether AI-generated or expert-provided.
To use KONNECT, you must:
If you are accepting these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
You are responsible for maintaining the security of your account credentials. You must not share your account with other individuals or organisations. You agree to notify us immediately at support@kapwa-global.com if you become aware of any unauthorised access to your account.
Each person must maintain a separate account. Account sharing or resale is not permitted.
You are responsible for all activity that occurs under your account.
KONNECT offers the following plan tiers: Free, Standard, Professional, and Enterprise. Features and usage limits for each plan are described on the pricing page and governed by the limits defined within the platform.
Paid subscriptions are billed in advance on a monthly or annual basis via Stripe. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date via your account settings.
We may update pricing from time to time. We will provide at least 30 days advance notice of any price changes via email and in-app notification. Continued use of a paid plan after the notice period constitutes acceptance of the updated price.
Where we offer a free trial or promotional access code, the duration and conditions will be stated at the point of redemption. At the end of a trial period, your account will convert to the applicable paid plan unless you cancel before the trial ends.
Promotional codes are single-use, non-transferable, and may not be combined with other offers unless stated. We reserve the right to remove promotional access if we determine it is being abused.
If you are a consumer resident in the European Union, you have the right to withdraw from your subscription within 14 days of purchase without giving any reason, provided the service has not yet commenced.
By completing your purchase and requesting immediate access to KONNECT, you acknowledge that the service commences immediately upon payment. You confirm that you have been informed of and expressly waive your 14-day right of withdrawal in accordance with Article 16(m) of Directive 2011/83/EU. This waiver is captured via your explicit confirmation at the point of checkout.
Outside the statutory withdrawal period, subscription fees are non-refundable except in cases of verifiable service failure attributable to KONNECT. In such cases, we will issue a pro-rata refund for the affected period at our discretion.
You agree not to use KONNECT to:
We reserve the right to suspend or terminate accounts that violate these conditions. See Section 13.
You retain ownership of all content you submit to KONNECT, including messages, uploaded files, SRI inputs, and any other materials ("User Content").
By submitting User Content, you grant KAPWA Global a limited, non-exclusive, worldwide, royalty-free licence to process, store, and use your User Content solely for the purpose of operating, securing, and improving the Service. This licence does not extend to using your User Content for third-party AI model training.
You are responsible for ensuring that any User Content you submit does not infringe the intellectual property rights, privacy rights, or other rights of third parties.
AI-generated outputs within KONNECT are produced by third-party language models and are provided for strategic analysis and ideation purposes only. They do not constitute legal, financial, medical, or tax advice.
We make no warranty as to the accuracy, completeness, or fitness for purpose of any AI-generated output. Outputs may vary between sessions. You should independently verify any output before making decisions based on it.
Human experts available through KONNECT are independent professionals. KAPWA Global provides a matching and facilitation infrastructure but does not employ the experts, is not responsible for the professional advice or outputs they provide during sessions, and accepts no liability for expert session outputs.
You retain full accountability for any decision you make based on expert input. Experts provide perspective and analysis to support your decision-making; they do not make decisions on your behalf.
Expert sessions are subject to separate community guidelines governing conduct, ratings, and feedback. Ratings and feedback you submit are used to maintain quality standards on the platform.
KONNECT, its user interface, underlying frameworks, the Strategy Readiness Index rubric, AI prompts, and the KAPWA Global name and marks are the intellectual property of KAPWA Global. Nothing in these Terms transfers any ownership of these materials to you.
We grant you a limited, non-exclusive, non-transferable licence to use outputs and exports generated through your use of the Service for your own internal business purposes. You may not reproduce, distribute, or commercialise KONNECT outputs in a way that competes with or substitutes for the Service.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with use of the Service. Human experts engaged through KONNECT are subject to equivalent confidentiality obligations under their engagement terms.
We may suspend or terminate your access to KONNECT with or without notice if:
On termination, your access to KONNECT will cease. The effect on your data is governed by the Privacy Policy. You may export your data before termination using the export function in your account settings.
You may terminate your account at any time via Settings. Termination does not entitle you to a refund except as described in Section 6.
KONNECT is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation of the Service. We may carry out planned maintenance from time to time and will aim to provide advance notice where possible.
No uptime guarantee or service level agreement applies to any plan tier.
To the fullest extent permitted by applicable law, KAPWA Global excludes all warranties, express or implied, in connection with the Service and its outputs.
To the fullest extent permitted by applicable law, KAPWA Global's aggregate liability to you for any claims arising out of or in connection with these Terms or the Service shall not exceed the total fees paid by you to KONNECT in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes liability for: fraud or fraudulent misrepresentation; death or personal injury caused by negligence; or any liability that cannot be excluded or limited under applicable law, including non-excludable consumer rights under EU law.
You agree to indemnify and hold harmless KAPWA Global, its officers, and its team members from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from: your use of the Service in breach of these Terms; your User Content; or your violation of any applicable law or third-party rights.
If you participate in the KONNECT partner or referral programme, your participation is subject to separate Partner Terms available on request. These Terms apply to your use of the platform regardless of your partner status.
We may update these Terms from time to time. Where changes are material, we will provide at least 30 days notice via email to your registered address and via in-app notification before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
We may also modify, suspend, or discontinue features of the Service. We will endeavour to provide reasonable notice of significant feature changes.
These Terms are governed by and construed in accordance with the laws of Spain. Where you are an EU consumer, mandatory consumer protection laws in your country of residence apply in addition to Spanish law and are not affected by this clause.
Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute in good faith within 30 days of written notice of the dispute to support@kapwa-global.com.
If resolution is not reached within that period, any dispute shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain, except where mandatory consumer protection laws in your country of residence require otherwise.
EU consumers may also refer disputes to the European Commission Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
